Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the koderAI platform and related services provided by koderAI Corp. (“koderAI,”, "koder.com", “we,” “us,” or “our”) through koder.com and any associated applications or integrations (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use our Services.

1. Eligibility

You must be at least 13 years old to use koderAI.
If you are between 13 and 18, you may use the Services only with the consent of a parent or legal guardian.
By using koderAI, you represent that you meet these requirements and are legally able to enter into this agreement.

2. Account Registration

To access certain features, you must create a koderAI account. You agree to:

• Provide accurate, complete, and current information.

• Maintain the confidentiality of your login credentials.

• Be responsible for all activity under your account.

koderAI reserves the right to suspend or terminate your account if we believe it has been used in violation of these Terms or applicable law.

3. Use of Services

You may use koderAI only in accordance with these Terms and applicable laws. You agree not to:

• Use the Services for unlawful, harmful, or abusive purposes.

• Reverse engineer, copy, distribute, or resell any part of the Services

• Interfere with or disrupt our systems or security features.

• Use automated tools to extract data except through authorized APIs.

You are responsible for the content, projects, and applications you create using koderAI.
We may monitor activity to ensure compliance with these Terms and applicable laws.

4. Intellectual Property

All rights, title, and interest in the Services, including software, trademarks, content, and designs, are owned by koderAI Corp. or our licensors.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of any part of the Services.

You retain ownership of the content, code, or data you upload or create within your account, but you grant koderAI a limited license to host, process, and display that content as necessary to operate and improve the Services.

5. User Content

You are solely responsible for your input, data, and generated outputs when using koderAI.
By submitting or uploading content, you represent that:

• You have all necessary rights to such content.

• The content does not violate any law, contract, or third-party rights.

We may remove or restrict content that violates these Terms or applicable law.

koderAI does not claim any ownership rights in your projects, generated code, or other outputs you create using the Services. As between you and koderAI, you retain all right, title, and interest in and to the software, code, applications, and other content you develop using the Services. By using the Services, you grant us a non-exclusive, worldwide, revocable, limited license to host, process, store, transmit, and display your content solely as necessary to provide, maintain, secure, and support the Services for you (for example, to run inferences, show results back to you, and maintain backups). Your content is not used to train our models unless you expressly opt in to such use.

6. Payment, Billing, and Cancellation

Certain features of the Services require a paid subscription. By subscribing, you authorize koderAI to charge your selected payment method for recurring fees.

You may upgrade, downgrade, or cancel your plan at any time in your account settings.
Cancellations take effect at the end of the current billing cycle, and your access continues until that time.
No refunds are issued for unused time or partial billing periods, except where required by law.

Billing and payment information is processed securely by third-party payment processors. koderAI does not directly store credit or debit card numbers.

7. Service Availability

We strive to maintain reliable access to the Services but cannot guarantee uninterrupted or error-free operation.
We may modify, suspend, or discontinue parts of the Services at any time, with or without notice.
koderAI is not liable for delays, outages, or data loss caused by factors outside our reasonable control.

8. Third-Party Services and Links

The Services may integrate with or link to third-party applications (e.g., GitHub, Google Drive, payment processors).
Use of those services is governed by the respective third parties’ terms and privacy policies, not by koderAI.
We are not responsible for third-party content, services, or data handling practices.

9. Confidentiality and Data Protection

Your personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.
You agree not to misuse or disclose confidential information obtained through koderAI, including system architecture, pricing, or non-public platform details.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.

To the fullest extent permitted by law, koderAI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

• The Services will meet your requirements.

• The Services will be available without interruption or error.

• Generated outputs, code, or recommendations will be accurate or free of defects.

You use koderAI at your own discretion and risk.

11. Limitation of Liability

To the maximum extent permitted by law, koderAI Corp., its affiliates, officers, employees, and partners are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services.

Our total liability for any claim under these Terms shall not exceed the amount you paid to koderAI in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless koderAI Corp., its affiliates, officers, and employees from any claim, liability, damage, or expense (including reasonable attorney’s fees) arising out of your:

• Use or misuse of the Services.

• Violation of these Terms or applicable law.

• Infringement of any third-party rights.

13. Termination

You may stop using the Services at any time.
We may suspend or terminate your access if you violate these Terms or if continued use may cause harm to others, the platform, or our business.

Upon termination, your license to use the Services ends immediately.
Certain sections — including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution — will survive termination.

14. Dispute Resolution and Arbitration

You and koderAI agree to resolve any disputes through binding arbitration rather than in court, except for claims that qualify for small claims court.

• Arbitration will be conducted by a neutral arbitrator under the Federal Arbitration Act (FAA).

• Each party will bear its own costs unless otherwise required by law.

• You may opt out of arbitration within 30 days of accepting these Terms by emailing legal@koder.com with the subject line “Arbitration Opt-Out.”

You waive any right to participate in class actions or collective proceedings.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved in Orange County, California, unless subject to binding arbitration as described above.

16. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services or legal requirements.
If material changes occur, we will notify you via email or in-product notice at least 30 days before they take effect.
The “Updated” date at the top reflects the latest version.

By continuing to use the Services after updates take effect, you agree to the revised Terms.
